Consignment Agreement
Consign Assist | Miami, Florida
This Consignment Agreement ("Agreement") is entered into between Consign Assist ("Company") and the above-named client ("Consignor") for the resale of clothing, handbags, shoes, accessories, and other approved merchandise.
1.Services
The Consignor authorizes Consign Assist to collect, evaluate, photograph, price, list, market, negotiate, and sell accepted merchandise on the Consignor's behalf through online resale marketplaces or other appropriate sales channels.
Consign Assist will also manage buyer communications, packaging, shipping, and sales administration.
2.Item Acceptance and Ownership
Consign Assist generally accepts authentic, high-quality items in excellent condition with an original retail value of $100 or more.
All items are subject to inspection and approval. The Company may decline items that do not meet its resale standards.
The Consignor confirms that they legally own all submitted items, have the right to sell them, and that the merchandise is authentic, free of undisclosed damage, and not counterfeit, stolen, or otherwise restricted from resale.
Ownership of accepted items remains with the Consignor until sold to a buyer. An inventory record of accepted items will be provided to the Consignor.
3.Commission and Client Payouts
The Consignor receives the following percentage of the final selling price of each item:
| Final Selling Price | Client Receives |
|---|---|
| $5 – $100 | 50% |
| Over $100 – $500 | 60% |
| Over $500 | 70% |
Consign Assist retains the remaining percentage as its commission, including applicable marketplace selling fees.
The final selling price excludes separately collected sales taxes and buyer-paid shipping charges.
Example: If an item sells for $300, the Consignor receives $180, and Consign Assist $120.
4.Pricing and Authorization to Sell
The Consignor authorizes Consign Assist to determine listing prices based on brand, condition, comparable resale listings, and market demand.
Consign Assist may adjust prices and accept reasonable offers at its discretion to facilitate sales unless a minimum acceptable price has been agreed upon in writing for a specific item.
The Company does not guarantee that any item will sell or achieve a particular price.
5.Consignment Period
The consignment period is 180 calendar days, beginning on the date Consign Assist accepts the items into its inventory.
During this period, Consign Assist will make commercially reasonable efforts to market and sell accepted merchandise.
The Consignor agrees not to independently sell or remove listed merchandise without first coordinating with Consign Assist.
Early withdrawal of items requires written notice and may be subject to reasonable documented expenses agreed upon in advance.
6.Unsold Merchandise
At the end of the 180-day consignment period, the Consignor may choose to have unsold merchandise returned or donated.
Consign Assist will notify the Consignor when the consignment period ends and coordinate the selected option.
Items will not be donated without the Consignor's authorization.
7.Payments
Payments will be issued within 14 business days after the Company receives cleared proceeds and the applicable marketplace return or dispute period has expired.
The Consignor may choose to receive payment through:
- Zelle
- Bank Transfer
- Other method agreed in writing
Consign Assist will maintain sales records and provide an itemized summary of completed sales, including final sale prices and the Consignor's earnings.
If a transaction is canceled, refunded, reversed, or subject to a chargeback, the associated payout will be adjusted accordingly. Any required recovery of previously paid proceeds will be documented and communicated to the Consignor.
8.Returns, Loss, and Damage
Consign Assist will exercise reasonable care in handling, storing, and shipping accepted merchandise.
The Company is responsible for loss or damage caused by its negligence or misconduct, subject to applicable law.
Consign Assist is not responsible for ordinary wear, pre-existing damage, or events beyond its reasonable control where it has exercised appropriate care.
If an item is lost or damaged while in the Company's custody due to its negligence, compensation will be based on the item's documented fair market resale value, subject to applicable law and any separately agreed insurance coverage.
Buyer returns, shipping claims, and marketplace disputes will be handled by Consign Assist in accordance with applicable marketplace policies.
9.No Guarantee of Sale
The Consignor understands that resale values fluctuate and that Consign Assist cannot guarantee the sale of any item, a specific selling price, or the amount of time required to complete a sale.
10.Termination
Either party may request early termination by providing written notice.
Any pending sales, accepted buyer offers, shipments, returns, or outstanding payment obligations must be resolved before the affected merchandise is released.
